Tata Sons Board Reappoints N Chandrasekaran For Five Years, Reversing Earlier Exit Decision

The Board of Tata Sons Limited has approved a fresh five-year term for N. Chandrasekaran as Executive Chairman, reversing his decision last month not to seek reappointment. The decision was taken at the Board meeting held on September 17, 2026, after the Nomination and Remuneration Committee (NRC) requested him to reconsider his decision in recognition of his contribution to the Tata Group and its larger interests.

The NRC requested Chandrasekaran to reconsider his decision on September 3, which he accepted at the September 17 Board meeting. Tata Trusts had earlier supported his reappointment, recognising his stewardship since 2017.

The Board had agreed in principle to his reappointment in September 2025, but approval was deferred in February 2026 due to a lack of unanimity. Discussions in May and June remained unresolved.

Noel Tata, Chairman of Tata Trusts, voted against the reappointment and recorded his dissent, according to his statement reported by Moneycontrol. Tata Trusts called the resolution a “legal nullity” and disputed its validity.

Sources cited by Reuters reported that Noel Tata may challenge the decision. Both sides reportedly obtained legal opinions on the matter.

The Board also approved steps to comply with applicable RBI guidelines and proceed with Tata Sons’ listing process. The decision follows the RBI’s rejection of Tata Sons’ application to surrender its registration, bringing the company’s listing obligations into focus.

Both the chairman’s reappointment and listing-related decisions will require approval at the company’s AGM.

Chandrasekaran’s current term ends on February 20, 2027. The reappointment remains subject to applicable shareholder approvals, while the reported dispute over the decision may lead to further legal and governance developments.
