
MCA Proposes Changes To Company Incorporation Rules
The Ministry of Corporate Affairs (MCA) has released draft Companies (Incorporation) Amendment Rules, 2026, for public feedback until May 9 through its portal, proposing changes to the incorporation framework.
The draft seeks to combine multiple forms into two e-forms. Forms such as INC-4, INC-22, INC-23, and INC-24 may be merged into E-CHNG (a single form that will replace multiple existing forms used for basic company changes) for changes in registered office and company name. Forms including INC-6, INC-12, INC-18, INC-20, INC-27, RD-1, and INC-28 may be merged into E-CON (this form will handle more complex regulatory processes) for conversions and approvals. The proposal removes affidavit requirements for conversion into a One Person Company and deletes provisions on criminal liability linked to such entities. It revises rules on company names and trademark checks, and allows withdrawal of reserved names.
It also updates KYC norms, expands documents for registered office proof, enables risk-based verification, raises Director Identification Number (DIN) allotment limits to five, and permits office shifts across states with conditions.
