Nykaa Shareholders Approve Reappointment Of Adwaita Nayar & Anchit Nayar As Executive Directors For Five-Year Terms
Nykaa shareholders have approved the reappointment of Adwaita Nayar and Anchit Nayar as Executive Directors (Whole-Time Directors) for five-year terms. Shareholders also approved the reappointment of Milind Sarwate and Anita Ramachandran as Non-Executive Independent Directors for the second consecutive five-year terms.
The reappointment of Anita Ramachandran also included shareholders’ approval for her continuation as an Independent Director after attaining the age of 75 years, in accordance with applicable regulatory requirements.
Adwaita Nayar is the Executive Director of Nykaa and Chairperson & Chief Executive Officer (CEO) of Nykaa Fashion. A Co-Founder of the company, she has played a key role in its marketing, operations, and product development. She rejoined the company in 2017 as Chief Executive Officer of FSN Brands, where she led the expansion of Nykaa’s offline retail network. Since 2018, she has built and oversees Nykaa Fashion, managing nykaafashion.com along with the company’s owned and partner brands. Nayar holds a bachelor’s degree in Applied Mathematics from Yale University, graduating Cum Laude, and an MBA with distinction from Harvard Business School. She has been an Executive Director of Nykaa since July 1, 2021.
Anchit Nayar is an Executive Director of Nykaa and serves as CEO of its Beauty E-Commerce business. He joined the company in 2018 as CEO and has led the expansion of Nykaa’s physical retail stores. Between May 2020 and January 2021, he also served as the company’s Chief Marketing Officer (CMO). Nayar is responsible for Nykaa’s beauty business and is a member of the investor relations team. Before joining Nykaa, he worked as Vice President (VP) in the Investment Banking Division at Morgan Stanley in New York. He has more than 10 years of experience across e-commerce, marketing, retail, and banking. Nayar holds a bachelor’s degree from Columbia University.
Milind Sarwate is a finance and Corporate Governance professional with about 37 years of post-qualification experience. He has worked with Godrej Soaps and Marico and has served as an Independent Director on the Boards of several listed companies, including Mahindra & Mahindra Financial Services, Metropolis Healthcare, SeQuent Scientific, Matrimony.com, and Hexaware Technologies. Sarwate is the Founder of Increate Value Advisors LLP and Increate Social Value Advisors & Resourcers LLP. He was inducted into the CFO India Hall of Fame in 2013 after receiving finance leadership awards from ICAI and CNBC-TV18. He is a Chartered Accountant, Cost Accountant, and Company Secretary, and holds a bachelor’s degree in commerce from the University of Bombay.
Anita Ramachandran has more than 45 years of experience across consulting, finance, asset management, and manufacturing. In 1995, she founded Cerebrus Consultants Pvt. Ltd., a leadership and human resources consulting firm. Earlier in her career, she worked with A.F. Ferguson & Co., formerly part of the KPMG network in India. Ramachandran serves on the boards of several companies, including Aditya Birla Housing Finance, Grasim Industries, Godrej & Boyce Manufacturing, Happiest Minds Technologies, Kotak Mahindra Life Insurance, Metropolis Healthcare, Rane (Madras), Essel Mining & Industries, and Utkarsh Small Finance Bank. She holds a bachelor’s degree in commerce and a master’s degree in management Studies from the University of Bombay.
