Capgemini Proposes Board Changes, Plans New Appointments & Renewals

The Board of Capgemini SE has proposed renewal of terms for Paul Hermelin and Maria Ferraro, along with the appointment of Veronique Weill and Luc Remont as Directors for four-year terms.

Xavier Musca and Frederic Oudea will not seek reappointment. The Board plans to continue with separate roles for Chairman and Chief Executive Officer (CEO) and to reappoint Hermelin as Chairman.

The Board also plans to appoint Patrick Pouyanne as lead Independent Director. The appointment of Lila Tretikov will be presented for shareholder ratification.

Hermelin is a business executive with experience in government and technology services. He studied at Ecole Polytechnique and Ecole Nationale d’Administration (France). He began his career in the French Ministry of Finance and worked with Jacques Delors. He joined Capgemini in 1993 and held roles including CEO and later Chairman and CEO. In 2020, the roles were separated, and he continued as Chairman. He is also a Senior Advisor at Eurazeo and has experience in corporate transformation and technology-led operations.

Ferraro is Chief Financial Officer (CFO) and a member of the Executive Board of Siemens Energy AG, a role she has held since May 2020. With a global career spanning Canada, the UK, Germany, and the US, she has held senior corporate finance roles within Siemens. She previously served as CFO of Digital Industries and Chief Diversity Officer at Siemens AG. A Chartered Accountant, she began her career at PwC and Nortel Networks. Ferraro joined Capgemini’s Board in 2022 and serves on its Audit & Risk Committee. She brings extensive expertise in finance, manufacturing, technology, energy, and global markets, alongside a strong focus on diversity and inclusion.

Remont is a business executive with experience in the energy and financial sectors. He studied at Ecole Polytechnique and ENSTA Paris. He began his career in public administration and later worked at Bank of America Merrill Lynch. He joined Schneider Electric in 2014, holding roles in regional and international operations. He later served as CEO of EDF from 2022 to 2025. He currently holds Board roles at Waga Energy and other organisations.

Tretikov works in artificial intelligence and technology strategy. She is a partner at New Enterprise Associates, where she leads AI strategy. She studied computer science at the University of California, Berkeley. She previously worked at Microsoft, where she held leadership roles in technology and AI initiatives. She also served as CEO of the Wikimedia Foundation. She is a member of the Boards of UBS Group, Volvo Car Corporation, and Xylem Inc.
