UK Competition Authority Investigates Boeing-Spirit Merger

The UK’s competition regulator has begun a phase 1 inquiry into Boeing’s proposed acquisition of Spirit AeroSystems.

The Competition and Markets Authority (CMA) notified both companies that it would assess whether the deal could reduce competition, a step that may lead to a deeper phase 2 investigation. The decision on whether to escalate the probe is expected by August 28, 2025. Boeing, a key customer of Spirit, had aimed to close the deal by July 1, 2025. Spirit operates two UK sites, in Prestwick and Belfast. Airbus is also involved in the transaction, taking over parts of Spirit that support its aircraft, including most of the Belfast operations. Boeing would retain the remaining activities, primarily focused on Bombardier business jet components.
