Jay Hoag Offers Resignation As Netflix Director After Failing Shareholder Approval

Netflix Director Jay Hoag has submitted his resignation after failing to secure a majority vote at the company’s annual shareholder meeting on June 5, 2025.

Hoag, who has served on the Board since 1999 and is also Chair of the Nominating and Governance Committees, offered to step down in line with a company policy adopted last year. The Board now has 90 days to decide whether to accept his resignation. Advisory firm Institutional Shareholder Services recommended against supporting Hoag, citing his attendance at only 50% of meetings last year. Hoag had a 97% attendance rate over the previous five years and 100% so far in 2025.
The Board’s decision could influence future shareholder confidence in governance practices.
