Citigroup’s CEO Jane Fraser Elected Chair Of Board Of Directors; John C. Dugan Named Lead Independent Director
Citigroup’s Board of Directors has elected Jane Fraser, the company’s Chief Executive Officer (CEO), as Chair of the Board.
John C. Dugan, who has served as Chair since 2019, will assume the role of Lead Independent Director.
Fraser became CEO of Citigroup in March 2021. She has held leadership roles across Citi’s consumer and institutional businesses, including President of Citi, CEO of the Global Consumer Bank, Global Head of Strategy and M&A, CEO of Citi Private Bank, and CEO of Citigroup Latin America. She joined Citi in 2004 from McKinsey & Company. She has launched a multi-year strategy to transform and modernise the bank, focusing on cross-border banking, wealth management, and U.S. personal banking. Fraser holds an MBA from Harvard Business School and an MA in economics from Cambridge. She serves on multiple global Boards.
Dugan previously served as Chair of Citigroup from January 2019 to October 2025 and has been a Director since October 2017. His career includes senior positions in law and government, including Partner and Chair of the Financial Institutions Group at Covington & Burling LLP and Comptroller of the Currency. Earlier, he was Partner & Counsel at Covington & Burling LLP, Assistant Secretary for Domestic Finance and Deputy Assistant Secretary for Financial Institutions Policy at the U.S. Department of the Treasury, and Minority General Counsel and Counsel for the U.S. Senate Committee on Banking, Housing, and Urban Affairs.
