ROC Ahmedabad Imposes Rs 8 Lakh Total Penalty Over Delayed Appointment Of Independent Directors

The Registrar of Companies (ROC), Ahmedabad, has penalised Rotomotive Powerdrives Private Limited for failing to appoint the required number of Independent Directors within the prescribed period. Under Section 149 of the Companies Act, 2013, the company was required to appoint at least two Independent Directors as its turnover as of March 31, 2021, stood at Rs 107.92 crore, exceeding the threshold of Rs 100 crore.

The company was required to complete the appointments by June 30, 2021. However, it appointed one Independent Director on March 31, 2025, and another on July 28, 2025. The period of default from July 1, 2021, to July 28, 2025, totalled 1,488 days. Following notice and an e-hearing under Section 454, the ROC imposed a penalty of Rs 3 lakh on the company and Rs 1 lakh each on five Directors.
