Jagran Media Holding Company Seeks Removal Of Eight Directors

Jagran Prakashan Limited (JPL) said in a stock exchange filing on February 12, 2026, that its holding company, Jagran Media Network Private Limited (JMNIPL), has issued a special notice seeking the removal of seven Independent Directors and one Whole-Time Director.

The Directors named in the notice are Divya Karani, Shailendra Swarup, Anita Nayyar, Kemisha Soni, Pramod Agarwal, Shalin Tandon, and Arun Anant. The notice also proposes the removal of full-time director Satish Chandra Mishra. An Extraordinary General Meeting has been called to consider the proposals. JMNIPL has stated that the appointments of these Directors were not carried out in accordance with requirements. It has been alleged that Chairman Mahendra Mohan Gupta did not exercise voting rights as directed by the Board.

The dispute essentially pits different factions of the promoter Gupta family against each other, primarily centered on the control of the holding company, Jagran Media Network Investment Private Limited (JMNIPL). The JPL Board has formally acknowledged the special notice but maintains that the matter of how these voting rights were exercised is currently before the NCLT Allahabad.

Gupta has written to the Board stating that the voting rights matter is pending before the National Company Law Tribunal (NCLT), Allahabad Bench, where related company cases are under hearing. The Board said it will take steps as required under the law.
